- To ensure that systems, practices and procedures are in place to protect the bank’s assets and other interest, against losses from legal risks both at local and international platform, prevent future risks by elevating changes in legal position and raising timely cautions from legal, regulation and compliance stand point and also represent the bank with other entities & regulatory authorities (Municipality. CBE, MFA, GAFI, Capital Market Authority, Manpower Authority …etc, also work hand in hand with all business units according to the applicable laws and regulations in Egypt.
- To support the Group General Counsel in protecting Mashreqbank’s interests in all Egypt Legal and the overall management of the Bank’s Egypt unit.
- To assume responsibility for providing sound strategic legal advice across the Egypt Legal
- To be pro-active in highlighting and mitigating potential problems in all eventualities providing regular updates and reports to the Group General Counsel.
- To supervise senior and junior legal staff and contribute to their training and development.
- To mitigate department costs and negotiate and manage external counsel and third parties related to the department.
- To manage the Legal Department – Egypt to provide all kind of legal services to protect assets and image of the bank.
- Coordination with legal head office concerning in the entire Country legal objective.
- To provide active support, guidance to Legal Officers in handling and resolving legal and banking issues with other Divisions and / or external parties.
- To recruit, develop, motivate and retain high caliber staff in legal department – Egypt.
- To interact with bank external legal advisory in order to resolve disputes, contracts, etc. in interests of the Bank.
- To supervise effective management of inquiries, investigations and actions resulting from criminal actions, fraud or recovery cases in Egypt.
- Provide expert legal opinion to country manger, business line department, corporate credit, SME’s, branches, OPS, etc. in new and existing ventures especially on a pre-emptive basis.
- Coordination with legal head office concerning Hiring, terminating and agreeing to contracts and fee structures of external lawyers and other people related to enforcing or pursuing legal matters.
- Ensuring legal opinion is offered to make the process of new product / process development in line with prevailing laws, procedures, etc. jurisdictions where they will be launched / implemented.
- Ensuring that the Legal Department on a focused and ongoing basis collect, analyze and record new knowledge which may help in safeguarding bank’s legal interests.
- Member in all the bank committee as legal member like risk committee & management committee &Tender committee.
- Advising Bank and its affiliates on processes and things which affect its status as an employer.
- Managing all the legal matters in relation to MGN Egypt, including labour, complex corporate structuring and operational day-to-day legal matters;
- Managing the security agency services and ensure risk mitigation measures;
- Intensively interact with the HO legal and GGC in relation to any matter with multiple jurisdiction where Egypt is a party to.
- Engaging in sophisticated matters that trigger direct involvement with the GGC up to the GCEO level;
- Managing all the legal modality of the real estate and corporate structuring matters in relation to the Bank and MGN Egypt;
- Engaging structuring and advising all the corporate and commercial matters of MGN that trigger legal issues.
- Proactivity in assisting the GGC in the resources optimization strategy of Egypt Legal Unit
- Advising and managing the legal services in respect of work permits for those employees’ expates who work or assigned for tasks, from time to time, in Egypt.
- Assisting the HO Legal in relation to any matters exist in any of Mashreq Group locations that would trigger a legal advice/intervention on only contractual basis rather than a jurisdiction qualification.
- Exposing to the UAE central bank regulations, from time to time, based upon periodic UAE central bank review on Egypt branch.
- Exposing to EU directives, including GDPR, from time to time to ensure the full compliance of Mashreq Egypt with any applicable EU directives being a branch of Mashreq psc.
- Advising Mashreq psc and it branches across the globe on any legal matters related to Egypt jurisdiction.
- Having well-versed up-to date legal solutions with digital banking solutions, banking as a service and fintech models.
- Understanding and effectively perform the role under the Three Lines of Defense principle to identify measure, monitor, manage and report risks.

- Legal services are provided to all areas as per the internal legal Service Standards and handle all the legal issue between the bank and CBE.
- The department has to maintain and develop good coordination and working relationship with the other Divisions, Al mashreqbank subsidiaries co. and affiliated, Government agencies, External legal advisory and other external bodies.

- This position is totally independent in respect of providing all legal services including without limitation issuing legal opinions, reviewing and drafting of documents / agreements, advises, giving suggestions and recommendations on pro-active basis to protect the interest of the customers for complex legal documents, agreements, advises, research, etc.
- Law Graduate with 15 years experience in the legal field including 15 years with a legal department of a bank in Egypt.
- Member in attorney bar association.
- Register in front appeal court
- Well versed with the Egyptian Laws especially on Corporate Banking and Commercial Laws, etc. and having extensive practical knowledge, skill and experience in legal field with active interaction with experienced and senior lawyers and legal officials from the legal and banking field.
- Strong personality with extensive experience and a very high caliber and level of dedication and commitment.
- Exhaustive knowledge and research on local as well as international principles of law and legal / judicial concepts.
- Computer literate and excellent command of English and Arabic.
